By decision of the Court of Justice of the European Union (C-106/16) it is considered incompatible the forced winding up of a company that transfers its registered office to another state. In addition, according to the EU Court, the reasons not permitting it to fall under the principle of freedom of establishment of each company established and protected by EU legislation. Restriction of the principle of freedom is justified only for the necessary reasons of general interest.
